The traditional approach to M&A was to restrict the emergence of monopolies. The modern approach embodied in the takeover regulations is meant to ensure efficient use of corporate resources and protect the interests of minority shareholders. The two streams of corporate restructuring are governed by different legislations. Company law governs mergers and SEBI regulations govern takeovers. The value of mergers which is governed by economic factors is quite large and practically ten times the value of takeovers. The market approach of takeovers, however, instils discipline in regard to use of corporate resources by promoters and managements. The corporate raider can always approach the shareholders directly.
The book analyses both the approaches and identifies the need for strengthening competition policy and preventing the misuse of buy-back provisions for insider trading.

About the Author: |
H.R. Machiraju is a Financial Economist. He obtained his Ph.D. in Economics from Indiana University (USA) in 1960, spent the succeeding years teaching, undertaking research and organising Executive Development Programmes (EDPs). He taught at the Andhra University and BITS (Pilani) and has organised EDPs at IFMR (Chennai) and MDI (Gurgaon), and had research stints at NCAER and RBI. Professor Machiraju`s contribution to Capital Markets area was acknowledged by the High Powered Committee on Stock Exchange Reforms in their report of 1984. Apart from publication of a number of articles and reports, he has authored several books on banking and finance, including The Working of Stock Exchanges in India, Merchant Banking, Mergers Acquisitions and Takeovers and Modern Commercial Banking, which are widely used by both students and professionals.
